1. Introduction

Welcome to The Qlip ("we," "us," or "our"), a technology company based in Lagos, Nigeria, dedicated to transforming ideas into digital excellence through services including software engineering, AI & robotics, cybersecurity & data protection, multimedia solutions, system testing & IT support, and training & consultancy. These Terms of Service ("Terms") govern your access to and use of our website (theqlip.digital), free tools, and paid services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you must not use the Services. These Terms form a legally binding contract between you and The Qlip Technologies Ltd.

Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. Businesses must be duly registered entities.

2. Acceptance of Terms

By clicking "Accept," submitting a project form, or using any Service, you confirm that you have read, understood, and agree to these Terms. We may require additional agreements for specific services (e.g., project contracts). Continued use after changes constitutes acceptance of updated Terms.

3. Description of Services

Our Services include:

• Consultancy & Development: Custom software, web/mobile apps, AI integration, cybersecurity audits, multimedia production, and IT training.
• Project Submissions: Via modals or forms; we review and respond but are not obligated to accept or deliver.

Services are subject to availability and may evolve. We reserve the right to modify, suspend, or discontinue any Service with notice.

4. User Accounts and Responsibilities

To access certain features, you may need to create an account. You agree to:

• Provide accurate, complete information and update it as needed.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of unauthorized use.
• Comply with all applicable laws, including Nigeria's Cybercrimes Act 2015 and Data Protection Act 2023.

You are responsible for all activities under your account. We are not liable for losses due to unauthorized access.

5. Intellectual Property

Our Rights: All content, tools, designs, code, and materials on our site (including AI models and software) are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal/business purposes.

Your Content: You retain ownership of materials you submit (e.g., project briefs). By submitting, you grant us a worldwide, royalty-free license to use, modify, and display it for providing Services. Remove any confidential info before submission.

We respect IP rights and expect the same. Report infringements to theqlipglobal@gmail.com.

6. Payments and Fees

For paid Services:

• Quotes are estimates; final fees based on scope, agreed in writing.
• Payments via secure methods (e.g., bank transfer, Stripe). Late payments accrue 1.5% monthly interest.
• Refunds: At our discretion, minus non-refundable deposits (e.g., 20% for projects). No refunds for free tools.
• All fees exclude taxes; you bear applicable VAT/GST.

We use third-party processors compliant with PCI DSS.

7. Prohibited Conduct

You agree not to:

• Use Services for illegal activities, spam, or harassment.
• Reverse-engineer, hack, or disrupt our systems.
• Upload viruses, malware, or infringing content.
• Impersonate others or misuse free tools commercially without permission.
• Violate export controls or sanctions.

We may suspend/terminate access for violations without notice.

8. Disclaimers and Limitations of Liability

Disclaimers: Services are provided "as is" without warranties—express, implied, or statutory (e.g., no merchantability or fitness for purpose). Free tools may have errors; test thoroughly.

Limitation of Liability: To the fullest extent permitted by law (including Nigerian Contract Law), we are not liable for indirect, incidental, or consequential damages (e.g., lost profits). Total liability shall not exceed fees paid in the prior 12 months.

This does not limit liability for gross negligence, fraud, or death/injury.

9. Termination

We may terminate or suspend your access for breach, with or without notice. Upon termination, you must cease using Services and destroy any copies. Sections surviving termination: IP, payments, liability, governing law.

You may stop using Services anytime; for paid, contact for cancellation.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Lagos State, Nigeria.

We encourage informal resolution first. For unresolved issues, you agree to binding arbitration under the Arbitration and Mediation Act 2023, unless you opt out within 30 days.

11. Changes to These Terms

We may update these Terms to reflect legal or business changes. We will notify you via email or site notice (at least 30 days for material changes). Continued use after updates means acceptance.
